When is my BC company's annual report due, and what does it cost?
Every BC company must file an annual report with the BC Registry within 2 months after each anniversary of its incorporation (recognition) date. The fee is $43.39, plus a $1.50 service fee if you file through BC OnLine. It is not your tax return: the annual report confirms the company's details with the province, while the T2 corporate tax return goes to the CRA. A company that misses two consecutive years can be dissolved by the Registrar.

The rules
- Who files: every company incorporated, amalgamated or continued in BC. Extraprovincial companies registered in BC follow the same 2-month rule from the anniversary of their registration.
- When: within 2 months after each anniversary. A company incorporated on March 10 files between March 10 and May 10 each year.
- Order: missed reports must be filed in consecutive order, oldest first.
- Fee: $43.39 per report.
Where to file
- BC Business Registry: companies moved to the new registry file there and sign in with the BC Services Card app. Moved companies were told by email.
- Corporate Online: companies not yet moved still file through the older Corporate Online system.
What the annual report cannot change
- Directors: no longer changed on the annual report. File a notice of change of directors ($20) first; it is due within 15 days of the change.
- Addresses: a registered or records office change is a separate notice of change of address ($20).
- Officers: officer information can be updated on the annual report.
If you miss it
- Not in good standing: a company behind on annual reports is not in good standing, which can hold up financing, a sale or a contract that asks for a certificate.
- Dissolution: the Registrar may dissolve a company that fails to file in each of two consecutive years. Notices go to the registered office mailing address, so keep that address current.
- Restoration: Form 30 costs $350, plus every missing annual report at $43.39 and any director changes at $20. Notice is published in the BC Gazette; only a director, officer, shareholder or their heir can apply to the Registrar. Land the company owned passes to the Crown while it is dissolved.
Worked examples (estimates for illustration)
- Kelowna plumbing company incorporated June 5: files each year between June 5 and August 5. Cost: $43.39.
- Penticton company two years behind: files 2 reports in order: 2 x $43.39 = $86.78, before the Registrar acts.
- Vernon company dissolved for not filing, 3 reports missed, 1 director change: $350 + (3 x $43.39) + $20 = $350 + $130.17 + $20 = $500.17 in registry fees, before any name request or priority fee.
FAQ
Does filing my T2 with the CRA cover the annual report?
No. They are separate filings with separate governments.
Does the annual report need financial statements?
No. It confirms the company's registry details, not its finances.
What about a society?
Societies file under the Societies Act through Societies Online, a different process.
Every situation is different, so talk to your accountant about your specifics.
